1. Scope of Services
Digiladder NextGen Technologies provides digital transformation consulting, software development, AI integration, and marketing services. Detailed scopes of work will be outlined in separate master service agreements (MSAs) or statements of work (SOWs) signed by both parties.
2. Payment and Fees
All fees for consulting or development services are agreed upon in advance. Payments are non-refundable unless explicitly stated otherwise in a separate written agreement. In the case of hourly consulting, payment must be remitted prior to the scheduling of the session.
3. Intellectual Property
Unless otherwise specified in a formal contract, Digiladder NextGen Technologies retains the rights to pre-existing code, tools, libraries, and frameworks used during development. Custom code written specifically for the client becomes the property of the client upon full payment of all associated invoices.
4. Limitation of Liability
In no event shall Digiladder NextGen Technologies, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or website.
5. Warranties
While we strive for excellence in all our work, our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
6. User Conduct
When using our website, you agree not to engage in any unauthorized attempt to access our systems, spread malicious software, or use our website for any unlawful purposes.
7. Termination
We reserve the right to terminate or suspend access to our consulting services or digital products immediately, without prior notice, for any conduct that we determine, in our sole discretion, violates these Terms.
8. Governing Law
These terms shall be governed and construed in accordance with the laws of the jurisdiction in which Digiladder NextGen Technologies is headquartered, without regard to its conflict of law provisions.
